Acceptance of Terms

By accessing or using the Prume website, CLI, desktop application, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, do not use the Services.

Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Services. By using the Services, you represent that you meet this age requirement. If you are under 18, you must have the consent of a parent or legal guardian.

Description of Services

Prume provides software tools for organizing Git commits, including:

  • Prume CLI — a free, open-source command-line tool (MIT License)
  • Prume Pro — a paid product with additional features including a Web UI, AI classification, Jira integration, and stacked PR support
  • prume.dev — the marketing website and documentation

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized access to your account.

Subscriptions and Payments

Paid subscriptions are billed through Stripe. You agree to provide accurate and complete billing information. Subscriptions auto-renew at the end of each billing period unless canceled before the renewal date.

Refunds: We offer a 14-day free trial with no payment required. If you are unsatisfied after purchasing, contact us within 14 days for a full refund. After 14 days, subscriptions are non-refundable but you may cancel at any time to prevent future charges.

Price changes: We may adjust pricing with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.

License Keys

License keys are personal and non-transferable unless you have a Team or Enterprise plan. Sharing individual license keys may result in revocation without refund. See the License Agreement for full terms.

Intellectual Property

The Prume CLI source code is licensed under the MIT License. All other intellectual property — including the Prume Pro software, the prume.dev website, documentation, trademarks, logos, and branding — remains the exclusive property of Inoyu Sàrl and is protected by applicable intellectual property laws.

You retain all rights to your own code, data, and content. Prume does not claim any ownership over your source code, configurations, or outputs generated by the software.

Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble Prume Pro
  • Interfere with or disrupt the Services or servers
  • Circumvent license key validation or feature gating
  • Redistribute or sublicense Prume Pro without authorization
  • Use automated means to scrape or extract data from the website

Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. You use the Services at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Inoyu Sàrl, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability for all claims relating to the Services shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Inoyu Sàrl and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your license keys will be deactivated
  • Pro features will become unavailable
  • The free CLI will continue to function under the MIT License
  • We may delete your account data after 30 days unless legally required to retain it

Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the applicable arbitration body in the jurisdiction specified below, except that either party may seek injunctive relief in a court of competent jurisdiction.

Class action waiver: You agree to resolve disputes on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws provisions. The exclusive place of jurisdiction is Saint-Cergue, Canton of Vaud, Switzerland, subject to any mandatory statutory place of jurisdiction.

If you are located in the European Economic Area or the United Kingdom, nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the website and updating the “Last updated” date. For material changes, we will also send notice via email to registered users at least 30 days before the changes take effect. Continued use of the Services after changes constitutes acceptance of the new Terms.

Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and License Agreement, constitute the entire agreement between you and Inoyu Sàrl regarding the Services and supersede all prior agreements.
